This document is a template written by the Meridian Starboard team in plain language. It describes what the platform actually does today. It is a starting point, not legal advice, and it has not been reviewed by an attorney yet.
The agreement
These terms are an agreement between you and Meridian Group, the maker of Meridian Starboard. You accept them by checking the agreement box when you start a site or claim one, or by continuing to use the platform. If you are acting for an organization, you confirm you have the authority to accept for it.
What the service is
Meridian Starboard builds a website for a nonprofit from a short set of answers, and puts a back office behind it: donations, events, volunteers, a board page, and a request box for changes to the site's wording and photographs.
A new site starts as a draft. Claiming it creates your account and makes the organization yours to manage. Publishing to search engines, and accepting donations, unlock in steps: a site becomes publishable after it is claimed, and it can accept donations only after we verify the organization's charity status against public IRS records and the organization connects its own Stripe account.
Drafts
Anyone may start a draft without an account. Drafts stay out of search engines, cannot accept donations, and belong to the browser that created them until claimed. We may remove drafts that are abusive, that impersonate another organization, or that sit unclaimed.
Your content and your conduct
The words, images, and records you put into the platform are yours. You give us the license we need to host and serve them, and nothing more.
You agree not to use the platform to impersonate another organization, to mislead donors, or to do anything unlawful. We may suspend or remove a site that does.
Keep your sign in credentials to yourself. You are responsible for what happens under your account.
Donations and fees
Donations are processed by Stripe as direct charges to your organization's own Stripe account. Your organization is the recipient of every gift; Meridian Starboard never takes custody of donated funds and is not the merchant of record.
Any platform fee is shown to the donor at the time of the gift. Stripe's own terms apply to your Stripe account.
Your organization is responsible for its own obligations as a charity, including donation receipts, state charitable solicitation registration where required, and its filings. The platform generates starting point documents and disclosures to help, and those documents say on their face that they are templates an attorney has not reviewed.
Generated content and templates
Some drafts of website copy, layouts, and policy documents are produced with the help of a language model, from templates and from the facts you give us. A person at your organization must review and approve generated content before it is published, and you are responsible for what you approve.
Generated policy documents and these pages themselves are templates, not legal advice. Have your own counsel review anything you rely on.
The service is provided as is
We work to keep the platform available and correct, and we promise neither. The service is provided as is and as available, without warranties of any kind, to the extent the law allows.
To the extent the law allows, Meridian Group's total liability for any claim arising out of the platform is limited to the amount you paid us for the service in the twelve months before the claim.
Ending the agreement
You can stop using the platform at any time and ask us to delete your organization's data. We can suspend or end service for a breach of these terms, and we will be proportionate about it: abuse ends service, a fixable problem gets a chance to be fixed.
Governing law
These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws rules.
Changes and contact
When these terms change, the version stamp on this page changes with it, and continued use of the platform after a change is acceptance of the new terms.
